Terms of Service
Last updated: October 26, 2026
These terms apply when you use NGM Hub, our software platform (the “service”). The service is provided by NGEM Corp (“NGM”, “we”), 1059 Tierra del Rey, Suite A, Chula Vista, CA 91910, USA. By creating an account or using the service, you accept these terms.
If you are using NGM Hub on behalf of a company, you accept these terms for that company, and you confirm that you are allowed to do so. In that case “you” means the company.
1. Your account
- An account can belong to an organization (a company account) or to an individual.
- The person who signs up is the account Owner. The Owner is responsible for the users they invite, for what those users do in the account, and for keeping passwords and other credentials safe.
- Signing up requires verifying your email address. You must give us accurate information and keep it up to date.
- Tell us right away at admin@ngmanagements.com if you think someone has accessed your account without permission.
2. Subscriptions and billing
- What you pay for. Modules are priced per month. A module offered to both organizations and individuals costs the same for both; some modules are available to organizations only. Organizations get a larger discount when they bundle modules. Storage is sold in tiers. Digital Workers (our AI agents) and Agent Voice are sold as fixed monthly tiers: Starter (free), Pro and Business. Current prices are on our pricing page.
- Free trial. New subscriptions start with a 21-day free trial. Nothing is charged during the trial. A payment card is required at sign-up. If you do not cancel before the trial ends, your subscription starts and you are charged.
- Payments. Payments are processed by Stripe. We never see or store your full card number.
- Billing period. You can pay monthly or annually, always in advance. Annual billing gives you 1 month free on modules and storage; Digital Worker and Agent Voice tiers are billed at their monthly price for 12 months.
- Renewal and cancellation. Plans renew automatically at the end of each period until you cancel. A cancellation takes effect at the end of the period you already paid for, and you keep access until then. We do not refund partial periods, except where the law requires it.
- Plan changes. To change your plan, write to us at admin@ngmanagements.com.
- Discount and promo codes apply as stated when they are issued. We may withdraw a code for future billing periods.
- Taxes. Prices do not include taxes. You are responsible for any taxes that apply to your purchase.
- Failed payments. If a payment fails, Stripe retries it. If it still cannot be collected, we may suspend access to the service or cancel the subscription.
3. Plan limits
We do not charge overage fees. Each tier includes a set amount of documents the agents can read, live voice minutes, read-aloud characters and storage.
- We notify you when you reach 80% of a limit.
- Documents have a 20% grace above the limit.
- Live voice minutes have no grace. At the limit, live voice sessions pause and read-aloud switches to your browser's standard voice.
- Beyond that, only the limited action pauses (for example, reading new documents or starting a live voice session) until the next month or until your plan changes. Everything else keeps working.
Features described as unlimited are subject to fair use. We may limit automated or abusive use that affects the service or other customers.
4. Your data
“Customer Data” is everything you and your users put into the service: records, documents, files, messages and the information in them.
- You own your data. These terms do not give us any ownership of Customer Data. You give us only the permission we need to host, process and display it to provide the service to you.
- Our roles. For Customer Data, you decide what goes in and why (you are the “controller”), and we process it on your behalf (we are the “processor”). We process Customer Data only to provide and support the service, following your instructions as given through these terms, your settings and your use of the service, or as the law requires.
- What we never do. We do not sell Customer Data. We do not use it for advertising. We do not use it to train AI models.
- AI features. When you use an AI feature, we send the Customer Data it needs to one of the AI providers on our Subprocessors page, only to produce the result you asked for.
- Usage data. We collect data about how the service is used (for example, which features are used, how often, and errors). We use it to run, secure, support and improve the service. If we use it for anything beyond that, we aggregate or de-identify it first so it does not identify you or your users, and it never includes the contents of your records or files.
- Our people. Only the staff who need it to run, support or secure the service can access Customer Data, and they must keep it confidential. We look at your data to help you only when you ask us to, or when we need to fix a problem or protect the service.
- Security. Data travels encrypted (TLS) between your browser or device and our servers. Our main database and file storage providers encrypt it at rest. Each organization's data is kept separate from every other organization's, and inside your organization, users see what their role allows. We keep backups so the service can recover from a failure.
- Security incidents. If we confirm that Customer Data was accessed, lost or disclosed without authorization, we will notify the account Owner without undue delay and within 72 hours of confirming it. We will tell you what we know, what we are doing about it, and keep you updated as we learn more.
- Subprocessors. We use other companies (“subprocessors”) to host and run parts of the service. They are listed, with what they do and where, on our Subprocessors page. They may use Customer Data only to provide their service to us. When we add a new subprocessor that processes Customer Data, we update that page and notify Owners by email before it starts.
- Requests from authorities. If a government or court asks us for Customer Data, we will ask them to contact you directly, and we will tell you about the request before we answer, unless the law does not allow us to. We will give only what we are legally required to give.
- Where your data is. Our main systems are in the United States. Some subprocessors, such as AI and network providers, may process data in other countries; the Subprocessors page shows where.
- Export. You can export records from the modules that offer it. The account Owner or a co-owner can also request a full export of the organization from Settings: you get a file with all your records (JSON) and a list of your files, and the download link expires after 7 days. You can also ask us for an export at admin@ngmanagements.com.
- Closing your organization. The Owner can close the organization from Settings. Here is what happens, in order:
- Your users keep full access until the end of the period you already paid for. If you are not billed through the platform, they keep access for 7 days.
- For the next 30 days, only the Owner can sign in, to export the data or reactivate the organization.
- After those 30 days, we delete Customer Data from our active systems within 30 days.
- Copies in backups are not restored and expire on their regular cycle, within 90 days.
- If your account ends another way, for example because a payment could not be collected, you can still ask us for an export for 30 days. After that we delete your data as described above.
- What the law makes us keep. The only exception to deletion is records a law requires us to keep. We keep those only for as long as that law requires and use them for nothing else. For example, see section 9 of our Privacy Policy for imported bank transactions.
- Requests from people in your data. If someone whose information is in your account (for example, an employee or a client) asks to see, correct or delete it, that request is yours to answer, and we will help you do it. If they contact us directly, we will send them to you.
- How we handle personal information as a business, for example on this website, is described in our Privacy Policy.
5. AI features
- Our agents (Art, Andrew, Daneel, Hari and Bogert) and voice features use third-party AI models. AI output can be wrong. Review important results before you rely on them.
- Daneel can approve routine expenses automatically, but only if you turn it on and only within the rules you configure. You remain responsible for your financial decisions.
- Nothing in the service is legal, tax, accounting, engineering or architectural advice.
- Features marked as early access (for example, live voice) are provided as-is and may change or be removed.
6. Third-party services
You may choose to connect the service to third-party services such as QuickBooks, Plaid, Google Calendar, Telegram or your own Stripe account. Those connections are turned on only if you set them up; those services have their own terms, which apply to your use of them, and we are not responsible for them. The providers we use ourselves to run the service are subprocessors, covered by section 4 and listed on our Subprocessors page. Bank connections through Plaid work as described in section 9 of our Privacy Policy.
7. Acceptable use
You agree not to, and not to let your users:
- Upload or share illegal content, or use the service for anything illegal.
- Try to access another organization's data or any part of the service you are not authorized to use.
- Reverse engineer, scrape, or overload the service, or interfere with its security.
- Resell or sublicense the service without a written agreement with us.
- Send spam or unsolicited messages through the platform.
We may suspend access that breaks these rules or puts the service or other customers at risk.
8. Our intellectual property
The service, including its software, design and content, belongs to us. During your subscription we give you a non-exclusive, non-transferable right to use it under these terms. If you send us feedback or ideas, we may use them freely, without any obligation to you.
9. Availability
We aim for high availability, but we do not offer a service-level agreement (SLA) unless we agree to one with you in writing. The service may be briefly unavailable during maintenance.
10. Disclaimer of warranties
To the extent the law allows, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be error-free or uninterrupted.
11. Limitation of liability
To the extent the law allows:
- Our total liability for any claim related to the service is limited to the fees you paid us in the 12 months before the claim.
- We are not liable for indirect, incidental, special or consequential damages, such as lost profits, lost revenue or lost data.
Some places do not allow these limits; where that is the case, they apply only as far as the law permits.
12. Indemnification
You will defend and compensate us for claims from third parties that arise from your Customer Data or from your or your users' misuse of the service or breach of these terms. We will do the same for claims that the service, as we provide it, infringes a third party's intellectual property rights.
13. Changes to these terms
We may update these terms. We will notify you of material changes at least 30 days before they apply, by email or in the app. The current version will always be on this page with its “Last updated” date. If you keep using the service after a change applies, you accept the updated terms.
14. Governing law
These terms are governed by the laws of the State of California, USA. Any dispute will be handled by the state or federal courts located in San Diego County, California. If you are a consumer, you keep any rights that the law of your place of residence does not allow to be waived.
15. Consulting services
This section applies only if you subscribe to our Consulting service. It applies together with the written proposal we send you; if the proposal and this section disagree, the proposal applies.
- What it includes. Consulting to implement your processes on NGM Hub; custom guidance during your first months of integration; a monthly report of integration metrics; and basic advisory on finance and the construction process, such as budgeting, cash flow and working with lenders.
- Subscription and price. Consulting is a monthly subscription at the price stated in your proposal, billed in advance. It renews and is cancelled the same way as the rest of your plan (section 2).
- Sessions. Your proposal sets the minimum number of sessions included each month. Sessions are scheduled subject to our calendar availability.
- Unused sessions and refunds. Sessions you do not use in a month do not roll over to the next month and are not refunded. If at least one session was held in a month, that month is charged in full, even if fewer sessions than the minimum were held. If no session was held in a month because of our own calendar, you can ask us to refund that month's consulting fee by writing to admin@ngmanagements.com; we issue this refund only when you request it. This refund is an exception to the no-partial-refunds rule in section 2.
- Advisory only. We give recommendations; you decide. Every decision about your business, your projects, your finances and your financing, and its outcome, remains yours and under your responsibility. We do not run your operation, approve or sign on your behalf, or manage your staff, money or projects.
- Not professional or financial services. Consulting is not legal, tax, accounting, engineering, architectural or investment advice, and we are not a lender, mortgage broker or licensed financial advisor. We do not arrange or guarantee financing. For those matters, use a licensed professional.
- No employment or subordination. We act as an independent contractor. Consulting does not create an employment, agency, partnership or joint venture relationship. Our consultants are not your employees, do not report to you or follow your instructions as employees, and neither party can bind the other.
- No guaranteed results. Integration metrics describe how the integration is going; they are not a promise of savings, profit or any specific result.
- Confidentiality. We keep what you share with us during consulting confidential and use it only to provide the service, as described in section 4 and in our Privacy Policy.
- Liability. Sections 10 and 11 apply to consulting. Our total liability for consulting is limited to the consulting fees you paid us in the 12 months before the claim.
